1. Acceptance of Terms

By accessing or using the Avyo platform (“Platform”), operated by Avyo Inc. (“Avyo,” “we,” “us”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, you may not access or use our services. These Terms apply to all users, including renters, aircraft owners, and visitors.

2. Platform Role and Regulatory Status

Avyo is a technology marketplace that connects aircraft owners with qualified, certificated pilots for aircraft rental. Avyo does not own, operate, maintain, or control any aircraft listed on the Platform.

Avyo is not an air carrier, does not hold a Part 119 Air Carrier Certificate, and does not conduct operations under 14 CFR Part 135. Avyo does not provide air transportation services, supply flight crew, or exercise operational control over any flight.

All aircraft rentals facilitated through the Platform constitute dry lease arrangements. The renter-pilot assumes full operational control and sole responsibility for the safe conduct of each flight under 14 CFR Part 91.

3. User Accounts

You must create an account to use certain features of the Platform. You may register using email and password or through Google OAuth. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Avyo supports dual-role accounts. Users may act as both renters and aircraft owners. However, owners may not book their own aircraft through the Platform.

You agree to provide accurate, current, and complete information during registration and to update your information as necessary. Avyo reserves the right to suspend or terminate accounts that contain inaccurate, false, or misleading information.

4. Renter Obligations and Pilot Requirements

By renting an aircraft through Avyo, you represent and warrant that you hold:

  • A valid FAA Pilot Certificate with appropriate category, class, and type ratings for the aircraft being rented.
  • A current FAA Medical Certificate (Class 1, 2, or 3) or valid BasicMed status, as required by 14 CFR 61.23.
  • A current flight review (biennial flight review) within the preceding 24 calendar months, per 14 CFR 61.56.
  • Applicable passenger-carrying currency per 14 CFR 61.57, including three takeoffs and landings within the preceding 90 days in the same category, class, and type of aircraft.
  • Any additional endorsements, ratings, or experience minimums required by the aircraft owner or their insurance policy (such as complex, high-performance, or tailwheel endorsements).

As pilot-in-command, you assume full operational control of the aircraft and sole responsibility for the safe conduct of each flight in accordance with 14 CFR Part 91. You are responsible for all preflight planning, weather assessment, weight and balance calculations, and compliance with all applicable Federal Aviation Regulations.

5. Aircraft Owner Obligations

By listing an aircraft on Avyo, you represent and warrant that:

  • You are the legal owner or authorized operator of the aircraft.
  • The aircraft holds a current FAA Certificate of Airworthiness and Registration.
  • The aircraft is maintained in airworthy condition in accordance with 14 CFR 91.403, including compliance with all applicable Airworthiness Directives (14 CFR Part 39).
  • The aircraft has a current annual inspection. If the aircraft is used for hire or rental, it must also have a current 100-hour inspection per 14 CFR 91.409(b).
  • You maintain adequate insurance coverage that covers rental operations and have disclosed rental activity to your insurance provider.
  • All listing information (make, model, tail number, home base, hourly rate, fuel policy, performance data) is accurate and current.

Owners must complete Stripe Connect onboarding and verify their insurance through the Platform before listings are activated. Owners are responsible for maintaining accurate availability calendars and responding to booking-related communications.

6. Prohibited Uses

You may not use the Platform to:

  • Conduct commercial charter operations or carry passengers or property for compensation or hire under 14 CFR Part 135.
  • Hold out to the public as offering air transportation services.
  • Facilitate expense-sharing arrangements in violation of 14 CFR 61.113(c).
  • List an aircraft that is not airworthy, not properly registered, or not adequately insured.
  • Provide false or misleading information about pilot qualifications, aircraft condition, or insurance status.
  • Use another person's account or pilot credentials to rent an aircraft.
  • Violate any applicable Federal Aviation Regulation, state law, or local ordinance.

7. Bookings

Avyo uses an instant booking model. When a renter completes payment, the booking is confirmed immediately without requiring separate owner approval. Both the renter and owner receive confirmation via email.

Bookings are made based on location-based search, where the renter enters departure and destination airports. The Platform calculates total trip costs including rental, fuel (for DRY rentals), repositioning (if applicable), and the platform fee. All cost components are disclosed before payment.

A confirmed booking constitutes a dry lease agreement between the renter and the aircraft owner. Avyo facilitates this agreement but is not a party to the lease itself.

8. Fees and Payments

Avyo charges a platform service fee of 10% of the booking subtotal (rental cost + fuel cost + repositioning fee). This fee is disclosed in the cost breakdown before payment and is non-refundable except as stated in Section 9.

Aircraft owners receive 90% of the booking subtotal. Payouts are processed through Stripe Connect and deposited to the owner's linked bank account per Stripe's payout schedule (typically 2 business days).

All payments are processed securely through Stripe. Avyo does not store full payment card numbers. Owners must complete Stripe Connect onboarding, including identity verification and bank account linking, before receiving payouts.

9. Cancellations and Refunds

Renters may cancel a booking from their dashboard. Refund eligibility depends on how far in advance the cancellation is made. The specific refund amount is displayed before the cancellation is confirmed.

If an owner cancels a confirmed booking, the renter receives a full refund automatically. Repeated owner cancellations may result in reduced listing visibility or account suspension.

Weather-related cancellations and mechanical issues that render the aircraft unairworthy are handled on a case-by-case basis. The pilot-in-command always retains final authority to cancel a flight for safety reasons per 14 CFR 91.3.

10. Membership Plans

Aircraft owners may create monthly subscription plans (“Membership Plans”) offering benefits such as included flight hours and discounted rental rates. Membership Plans are managed by individual owners and processed through Stripe Subscriptions.

Renters may subscribe to Membership Plans and cancel or resume their subscriptions at any time from their dashboard. Included hours and discounts are applied automatically at booking. Unused hours do not roll over to the next billing period unless the owner's plan terms state otherwise.

11. Insurance

Aircraft owners listing on Avyo must maintain adequate insurance coverage that expressly covers rental operations. Owners must upload their Certificate of Insurance (COI) or Policy Declaration for verification through the Platform.

Renters are strongly advised to carry their own renter's insurance for liability and non-owned aircraft hull coverage. Renter's insurance protects against third-party liability and may cover the owner's deductible in the event of damage.

Avyo does not provide, underwrite, or guarantee any insurance coverage. Avyo does not verify the adequacy, scope, or limits of any party's insurance policy. Both owners and renters are independently responsible for ensuring they carry appropriate coverage for their respective roles.

12. Verification Services

Avyo uses AI-powered technology to verify user identity documents, insurance documents, and pilot certificates. Verification is designed to enhance trust on the Platform but does not constitute a guarantee of any user's qualifications, identity, insurance status, or aircraft airworthiness.

Users are responsible for independently verifying all relevant qualifications, credentials, and aircraft condition before entering into any rental arrangement. Avyo's verification status indicators are informational only.

13. Assumption of Risk

Aviation involves inherent risks, including but not limited to the risk of equipment failure, adverse weather, pilot error, and other hazards. By using the Platform to rent or list aircraft, you acknowledge and voluntarily assume all risks associated with aircraft operations.

The pilot-in-command has final authority and responsibility for the operation and safety of the flight per 14 CFR 91.3. No information, feature, or service provided by Avyo is a substitute for the PIC's independent judgment.

14. Limitation of Liability

Avyo is a marketplace platform and does not own, operate, maintain, inspect, or control any aircraft. To the maximum extent permitted by law, Avyo is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

  • The condition, airworthiness, or maintenance of any aircraft.
  • The qualifications, credentials, or conduct of any user.
  • Any accident, incident, injury, death, or property damage occurring during or in connection with any flight.
  • The accuracy or completeness of any listing, verification, or user-provided information.
  • Service interruptions, data loss, or technical failures.

15. Indemnification

You agree to indemnify, defend, and hold harmless Avyo, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Platform, your violation of these Terms, your violation of any applicable law or regulation, or any rental arrangement entered into through the Platform.

16. No Aviation, Legal, or Financial Advice

Avyo does not provide aircraft safety, operational, maintenance, legal, or financial advice. Content on the Platform, including blog posts, guides, cost calculations, and help articles, is for informational purposes only and is not a substitute for professional advice or independent pilot judgment.

Trip cost estimates are calculated based on owner-provided aircraft data and may not reflect actual costs. Fuel prices, weather conditions, routing, and other factors may cause actual costs to vary.

17. Content and Intellectual Property

By uploading photos, descriptions, or other content to the Platform, you grant Avyo a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content for the purpose of operating and promoting the Platform and your listings.

You retain ownership of your content and may remove it at any time by deleting your listing or account. You represent that you have the right to upload any content you submit and that it does not infringe on the rights of any third party.

18. Community Guidelines

All users are expected to communicate honestly and promptly, treat aircraft with care, follow all FAA regulations and local aviation rules, and report safety concerns immediately. Violations may result in warnings, temporary suspensions, or permanent account termination at Avyo's discretion.

19. Account Termination

Avyo reserves the right to suspend or terminate any account at any time, with or without notice, for violations of these Terms, fraudulent activity, safety concerns, or any other reason. You may delete your account at any time from your account settings.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and dispute resolution) will survive.

20. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in the state of Delaware. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

21. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles, and applicable federal law including the Federal Aviation Regulations (14 CFR).

22. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via email or through a notice on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
